Welcome to STEMM.

These Terms of Service are entered into between you and STEMM LLC, doing business as STEMM ("STEMM," "we," "us," or "our").

STEMM operates stemmhealth.com and our related online store, pages, content, features, tools, products, and services collectively referred to as the "Services."

Our online store is powered by Shopify, which enables us to provide the Services and sell our products to you.

These Terms of Service, together with any policies referenced in these Terms, describe your rights and responsibilities when accessing or using our Services or purchasing products from us.

STEMM sells dietary supplements and related wellness products.

We make reasonable efforts to accurately describe and display our products, including their ingredients, packaging, appearance, serving information, and other characteristics.

However, product packaging, colors, appearance, labeling, ingredients, specifications, or other details shown online may differ from the product you receive as a result of manufacturing changes, packaging updates, screen settings, regulatory changes, product improvements, or other circumstances.

All product descriptions, formulations, specifications, prices, promotions, availability, packaging, and other information are subject to change without notice to the extent permitted by law.

We reserve the right to modify, discontinue, limit, or replace any product at any time.

We may also limit quantities purchased by any person, household, account, geographic location, or order.

Nothing on our website guarantees the continued availability of any particular product.

SECTION 4 - ORDERS AND ORDER ACCEPTANCE

When you submit an order through our Services, you are making an offer to purchase the products listed in your order subject to these Terms.

Receipt of an order confirmation or acknowledgment does not necessarily constitute our acceptance of your order.

We reserve the right to accept, reject, cancel, or limit any order to the extent permitted by applicable law.

If we cancel an order after payment has been collected, we will provide an appropriate refund for the canceled portion of the order.

Please review your order carefully before submitting it. We may not be able to modify or cancel an order after it has entered processing or fulfillment.

SECTION 5 - PERSONAL USE AND RESTRICTIONS ON RESALE

Unless STEMM provides prior written authorization, products purchased through our Services are intended for personal or household use and not for commercial resale, redistribution, export, or other commercial purposes.

You may not purchase STEMM products for the purpose of reselling them on Amazon, Walmart Marketplace, eBay, TikTok Shop, another online marketplace, a retail store, another website, or through any other commercial channel without our prior written authorization.

We reserve the right to reject, limit, or cancel orders that we reasonably believe are intended for unauthorized resale, redistribution, fraudulent activity, or unlawful purposes.

You agree to use products purchased from STEMM only in accordance with applicable law and product instructions.

SECTION 6 - PRICES, PAYMENT, AND TAXES

All prices displayed through our Services are subject to change without notice.

The price charged for a product will generally be the price displayed at the time your order is submitted, subject to correction of errors as permitted by law.

Unless expressly stated otherwise, displayed prices do not include applicable sales taxes, shipping charges, handling charges, customs duties, import taxes, or similar governmental charges.

Applicable amounts will be calculated and displayed during checkout when possible.

You agree to provide current, complete, and accurate billing, payment, purchase, and account information.

By submitting payment information, you represent and warrant that:

  1. the payment information provided is accurate;
  2. you are authorized to use the payment method;
  3. charges incurred through your order are authorized by you; and
  4. you will pay all amounts associated with your purchase, including applicable taxes and shipping charges.

Payment must be successfully authorized before we are required to fulfill an order.

Promotional prices, discount codes, referral credits, bundles, introductory offers, and other promotions may be subject to additional terms.

Unless otherwise stated, promotions cannot be combined and have no cash value.

We reserve the right to modify, suspend, terminate, or correct a promotion where permitted by law.

SECTION 7 - SUBSCRIPTIONS AND AUTOMATIC RENEWAL

If STEMM offers subscription purchases, subscriptions will automatically renew at the frequency, price, and other terms disclosed to you when you enroll unless you cancel the subscription.

Before enrolling you in an automatically renewing subscription, we will disclose the material subscription terms and obtain your affirmative consent as required by applicable law.

By enrolling in a subscription, you authorize STEMM and our payment service providers to charge your designated payment method for recurring orders at the frequency and price disclosed when you enroll, including applicable taxes and shipping charges.

Subscription prices, billing frequency, shipment frequency, minimum commitments, discounts, and other material terms will be disclosed at or before enrollment.

You are responsible for maintaining accurate and current billing and payment information.

Subscription Cancellation

You may cancel your subscription in accordance with the cancellation methods provided through your account, subscription management portal, website, or customer support.

If you enrolled in a subscription online, we will provide an online cancellation method as required by applicable law.

Cancellation prevents future renewals but generally does not cancel an order that has already been processed or shipped.

To avoid an upcoming charge, you should cancel before the applicable renewal or processing date displayed through your account or subscription management page.

We will provide renewal notices, price-change notices, annual reminders, and other subscription notices when required by applicable law.

Subscription purchases are also subject to any separate Subscription Policy posted on our website.

If there is a conflict between these Terms and a specific Subscription Policy concerning a subscription, the more specific Subscription Policy will control with respect to that subscription.

SECTION 8 - SHIPPING AND DELIVERY

Shipping options, shipping charges, estimated delivery times, and geographic limitations will be displayed at checkout or described in our Shipping Policy when applicable.

Delivery and shipment dates are estimates only and are not guaranteed unless we expressly state otherwise.

We are not responsible for delays caused by circumstances outside our reasonable control, including carrier delays, weather, natural disasters, labor disruptions, customs processing, governmental actions, incorrect addresses provided by customers, or transportation disruptions.

You are responsible for providing a complete and accurate delivery address.

If an order is returned to us because an incorrect or incomplete address was provided, additional shipping charges may apply before the order can be resent.

Title and risk of loss will transfer as provided by applicable law.

International customers, where international shipping is available, are responsible for complying with applicable import requirements and may be responsible for customs duties, taxes, brokerage charges, or other fees imposed by the destination country.

SECTION 9 - RETURNS, REFUNDS, AND DAMAGED PRODUCTS

Purchases are subject to our Refund Policy, which is incorporated into these Terms by reference.

Return and refund eligibility, deadlines, procedures, exclusions, and any applicable shipping costs are governed by the Refund Policy in effect at the time of purchase, subject to applicable law.

If you receive an incorrect, damaged, defective, or materially compromised product, please contact us promptly at support@stemmhealth.com and provide your order information and, when requested, photographs or other information reasonably necessary for us to investigate the issue.

Do not discard a damaged or defective product until we have completed our review or instructed you to do so.

Nothing in our Refund Policy limits any rights that cannot legally be limited under applicable consumer protection laws.

SECTION 10 - PRODUCT REPRESENTATIONS AND AVAILABILITY

We strive to ensure that information presented through our Services is accurate, complete, and current.

However, we do not warrant that product descriptions, photographs, illustrations, packaging images, ingredient information, pricing, availability, or other information will always be complete, current, or error-free.

Product packaging shown online may differ from the packaging you receive.

Manufacturing improvements, ingredient availability, regulatory requirements, packaging changes, and other factors may result in changes to a product.

You should always rely on the information appearing on the physical product packaging you receive when determining ingredients, warnings, directions, serving information, or other product-specific information.

If there is a material discrepancy involving a product you receive, please contact us.

No license or ownership interest in any STEMM intellectual property is granted to you except for the limited right to access and use the Services in accordance with these Terms.

The name STEMM and STEMM logos, product names, designs, slogans, packaging, and related brand elements are trademarks or other intellectual property of STEMM LLC or its licensors, as applicable.

You may not use our trademarks without prior written permission.

All trademarks, logos, names, and intellectual property belonging to third parties remain the property of their respective owners.

SECTION 12 - OPTIONAL THIRD-PARTY TOOLS AND SERVICES

We may provide access to tools, applications, payment processors, subscription platforms, review platforms, analytics services, social media integrations, or other services provided by third parties.

We do not control all third-party services and may not monitor them.

Third-party services may be provided on an "as is" and "as available" basis and may be governed by separate terms and privacy policies.

Your use of third-party services is at your discretion and may be subject to agreements directly between you and the relevant third party.

To the extent permitted by law, STEMM is not responsible for losses arising solely from services operated independently by third parties outside our control.

SECTION 14 - RELATIONSHIP WITH SHOPIFY

STEMM's online store is powered by Shopify, which provides technology that enables us to operate portions of our online Services.

However, products purchased from our store are sold directly by STEMM and not by Shopify.

By using our Services, you acknowledge that Shopify is not the seller of STEMM products and is not responsible for the manufacture, formulation, labeling, sale, shipping, use, or performance of products purchased from STEMM.

To the extent permitted by applicable law, you release Shopify and its affiliates from claims arising solely from transactions between you and STEMM for which Shopify is not legally responsible.

Nothing in this section limits any right or remedy that cannot lawfully be waived.

Our collection, use, disclosure, and processing of personal information is governed by our Privacy Policy.

Because portions of our Services are hosted or supported by Shopify and other service providers, personal information may be processed by Shopify and other third parties that assist us in operating our business and providing our Services.

Consent to receive promotional text messages is not a condition of purchasing STEMM products.

If STEMM offers an SMS or other mobile messaging program, participation may be governed by separate Mobile Messaging Terms and a Messaging Privacy Policy.

Carrier message and data rates may apply to mobile communications.

If you submit, upload, post, email, transmit, or otherwise provide STEMM with reviews, photographs, videos, testimonials, ideas, suggestions, comments, proposals, or other materials collectively referred to as "Feedback," you represent that you have the legal right to provide that Feedback.

Unless otherwise prohibited by applicable law or expressly agreed in writing, you grant STEMM a nonexclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, publish, display, distribute, translate, adapt, and create derivative works from your Feedback in connection with operating, improving, and promoting STEMM and its Services.

You represent and warrant that your Feedback:

  1. is truthful to the best of your knowledge;
  2. does not infringe another person's intellectual property, privacy, publicity, or other legal rights;
  3. does not contain unlawful, defamatory, threatening, obscene, abusive, deceptive, or malicious content;
  4. does not contain malicious software or code; and
  5. properly discloses any compensation, free product, discount, incentive, or other material connection when disclosure is required by law.

You may not impersonate another person or submit Feedback using false information intended to mislead us or other customers.

We reserve the right, but do not have an obligation, to moderate, reject, remove, or edit Feedback to the extent permitted by law and our policies.

Our Services may occasionally contain typographical errors, inaccuracies, omissions, outdated information, or other mistakes relating to product descriptions, ingredient information, pricing, promotions, discounts, shipping charges, availability, transit times, or other matters.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information at any time without prior notice where permitted by law.

If an error affects an order you have submitted, we may contact you to provide corrected information or cancel and refund the affected portion of the order when appropriate.

STEMM DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, DURABILITY, AND NON-INFRINGEMENT, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.

WE DO NOT WARRANT THAT ACCESS TO THE SERVICES WILL ALWAYS BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

WE DO NOT GUARANTEE THAT USE OF A STEMM PRODUCT WILL PRODUCE ANY PARTICULAR INDIVIDUAL HEALTH, WELLNESS, NUTRITIONAL, ENERGY, DIGESTIVE, COSMETIC, PERFORMANCE, OR OTHER RESULT.

INDIVIDUAL RESULTS MAY VARY.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

SECTION 22 - LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STEMM LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO YOUR ACCESS TO OR USE OF THE SERVICES OR PRODUCTS.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR THE COST OF SUBSTITUTE PRODUCTS OR SERVICES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, STEMM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT PURCHASE, THESE TERMS, OR THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO STEMM FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER LIABILITY IS ASSERTED UNDER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR ANOTHER LEGAL THEORY.

NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED.

Because some jurisdictions do not permit certain limitations of liability, portions of this section may not apply to you.

SECTION 23 - INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless STEMM LLC and its affiliates, members, managers, officers, employees, agents, contractors, licensors, service providers, and suppliers from third-party claims, liabilities, damages, losses, costs, and reasonable attorneys' fees arising from:

  1. your material violation of these Terms;
  2. your violation of applicable law;
  3. your infringement of another person's rights; or
  4. your unlawful or unauthorized use of the Services.

Your indemnification obligations will apply only to the extent permitted under applicable law.

SECTION 24 - FORCE MAJEURE

STEMM will not be liable for a failure or delay in performing obligations caused by events outside our reasonable control.

Such events may include natural disasters, fires, floods, earthquakes, severe weather, epidemics, pandemics, war, terrorism, civil unrest, governmental actions, changes in law, embargoes, labor disputes, carrier disruptions, transportation interruptions, power failures, telecommunications failures, supply shortages, manufacturing interruptions, raw material shortages, or other events beyond our reasonable control.

Where commercially reasonable, we will attempt to resume affected operations after the relevant circumstances have been resolved.

SECTION 25 - SEVERABILITY

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed to the minimum extent necessary.

The remaining provisions will remain in full force and effect.

SECTION 26 - WAIVER AND ENTIRE AGREEMENT

Our failure to exercise or enforce a right or provision of these Terms does not constitute a waiver of that right or provision.

These Terms, together with our Privacy Policy, Refund Policy, Shipping Policy, Subscription Policy if applicable, and other policies expressly incorporated by reference, constitute the agreement between you and STEMM regarding your use of the Services and purchases through our website.

They supersede prior or contemporaneous communications concerning the same subject matter to the extent permitted by law.

SECTION 27 - ASSIGNMENT

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

STEMM may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, financing, change of control, or other lawful business transaction.

SECTION 28 - GOVERNING LAW AND DISPUTES

These Terms and any dispute arising from or relating to these Terms, the Services, or purchases from STEMM will be governed by the laws of the State of California, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Before filing a formal legal action, you and STEMM agree to make a reasonable good-faith effort to resolve the dispute informally.

Unless applicable law provides otherwise, any legal proceeding that is not resolved informally shall be brought in the appropriate state or federal court located in Sacramento County, California, and the parties consent to the jurisdiction of such courts.

Nothing in these Terms prevents either party from bringing an eligible matter in small claims court or exercising any right that cannot lawfully be waived.

SECTION 29 - CHANGES TO THESE TERMS

We may update these Terms from time to time.

The current version of these Terms will be posted on this page together with the applicable "Last Updated" date.

Where required by applicable law, we will provide notice of material changes.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.

Changes will not retroactively reduce rights that cannot lawfully be modified.
